These terms apply when you use Sada (صدى): the website sadacollab.com, the web app app.sadacollab.com, our iOS and Android apps, and our tracked links. By creating an account or using Sada, you agree to these terms and to our Privacy Policy.
1. What Sada is
Sada is a marketplace where brands find content creators and agencies, agree the terms of a piece of work, and pay through escrow. Sada provides the platform; the contract for each collaboration is between the brand and the creator or agency. Sada is not the employer or agent of any creator or agency, and does not guarantee the results of any campaign.
2. Your account
- You must be at least 18 years old and able to enter a binding contract. If you sign up for a business, you confirm you are allowed to act for it.
- The information you give us, including your name, business details, follower counts and licence details, must be true and kept up to date.
- Keep your sign-in details safe. You are responsible for what happens in your account. Tell us at once at hello@sadacollab.com if you think someone else has used it.
- New accounts may wait for access while Sada launches.
3. Collaborations
- A brand can post a request or campaign, or send an offer directly. Creators and agencies can apply or reply with their own terms.
- When both sides accept an offer, its terms (deliverables, price, deadlines, usage rights and any pay-on-results terms) form the agreement between them.
- The creator or agency delivers the agreed work on time. The brand reviews it within the time shown and approves it or asks for the agreed revisions.
- Agencies that represent creators confirm they have the creator's consent to act for them.
4. Escrow and payments
- The brand funds a collaboration before work starts. Sada holds the money and releases it to the creator or agency when the brand approves the work, or when the review period ends without a reply, in line with the offer's terms.
- While Sada launches, funding is recorded on the platform without charging a card, and Sada charges no platform fee. Before we start processing real payments or charging any fee, we will update these terms and tell you.
- Prices are in Saudi riyals. Each side is responsible for its own taxes, including VAT where it applies.
- Creators and agencies must give correct payout details. Sada is not responsible for delays caused by wrong bank details.
- Please keep payments for collaborations found on Sada inside Sada, so escrow can protect both sides.
5. Disputes between users
If a brand and a creator or agency disagree about a collaboration, they should first try to resolve it in the collaboration's messages. Either side can then ask Sada to look at it. We will review the agreed terms, the messages and the delivered work, and may decide whether escrowed money is released or refunded. Our decision on escrowed money does not stop either side from pursuing its legal rights.
6. Content and rights
- You keep ownership of the content you upload, such as your profile, portfolio and deliverables.
- When a brand pays for a collaboration, it receives the rights to use the delivered content that were agreed in the offer (for example the platforms, the period and whether it can be used in paid ads). Anything not agreed stays with the creator or agency.
- You give Sada a limited licence to host, display and share your content as needed to run the service, for example to show your portfolio to brands. If you agree, we may also feature your public profile or work when promoting Sada.
- You must only upload content you have the right to share, and it must not infringe anyone else's rights.
7. Advertising rules and licences
Creators must follow Saudi advertising rules, including holding a valid Mawthooq licence where it is required and clearly labelling paid content as an advertisement. Brands must not ask creators to break these rules, and must make sure their products and claims are lawful. Sada may show, check or ask for proof of a creator's licence, but each user remains responsible for their own compliance.
8. What you must not do
- Give false information, impersonate anyone, or inflate follower counts, views or results (including with bots or fake clicks on tracked links).
- Post content that is illegal, misleading, hateful, sexual, violent, or that breaks Saudi laws or public morals.
- Harass, threaten or spam other users, or use their contact details for anything outside Sada.
- Promote products or services that are illegal in Saudi Arabia.
- Try to break, overload, scrape or get around the security of Sada, or access data that is not yours.
9. AI tools
Sada offers optional AI tools that draft text such as briefs, pitches and campaign reports. Drafts can be wrong or incomplete. Check and edit them before you use them; you are responsible for what you send or publish.
10. Reviews
After a collaboration, both sides can leave a review. Reviews must be honest and about that collaboration. We may remove reviews that break these terms.
11. Suspending or closing accounts
You can close your account at any time by emailing hello@sadacollab.com; see the Privacy Policy for what happens to your data. We may suspend or close an account that breaks these terms or the law, or that puts other users at risk. Collaborations in progress and money in escrow will be settled fairly first.
12. Liability
We work to keep Sada available and accurate, but the service is provided "as is" and may sometimes be interrupted. To the extent the law allows, Sada is not liable for the actions, content or results of other users, or for indirect losses such as lost profits. Our total liability for any claim relating to a collaboration is limited to the amount Sada held in escrow for it. Nothing in these terms limits liability that cannot be limited under Saudi law.
13. Changes
We may update these terms as Sada grows. We will change the date at the top and, for important changes, tell you by email or in the app before they take effect. If you keep using Sada after that, the new terms apply.
14. Governing law
These terms are governed by the laws of the Kingdom of Saudi Arabia, and the competent courts of the Kingdom will hear any dispute. If the Arabic and English versions differ, the Arabic version applies.
